Terms for Nonprofit Organizations



Terms for Individuals


PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE iREDIRECT PROGRAM (AS DEFINED BELOW) AND/OR USING THE iREDIRECT.ORG WEB SITE. By participating in the iRedirect Program and/or using the iRedirect.org Site, you signify your assent to these terms and conditions. If you do not agree to these terms and conditions, please do not participate in the iRedirect Program or use the iRedirect.org Site. We reserve the right, at our discretion, to change, modify, add to or remove portions of these terms and conditions at any time. You agree to receive notification of modifications to this Agreement via the iRedirect.org site. If you continue to use the iRedirect.org Site and/or participate in the iRedirect Program following the posting of any changes to these terms and conditions, your continued use or participation will mean you accept these changes and agree to be bound by the new terms. Please check these terms and conditions periodically for changes.


iRedirect Online Shopping

iRedirect operates online shopping ("iRedirect Online Shopping") that enables iRedirect's users ("Users") to access the web sites of third party merchants ("Merchants") and to purchase goods or services from these Merchants' web sites. iRedirect Online Shopping enables users to direct contributions, which are generated by their purchases and are based on referral fees paid by the Merchants, to one of iRedirect's enrolled organizations. The amount of the contribution will be in accordance with iRedirect's policy in effect at the time a purchase is made. User designates an enrolled organization to receive contributions generated by the User's purchases prior to making any such purchases; otherwise, the contributions will not be credited to the enrolled organization.

To generate a contribution, a User must follow a link on the iRedirect.org Site to the Merchant site, make a purchase, accept delivery and make payment for the purchase to the Merchant. The amount of contributions payable varies depending on the Merchant and on the item or service purchased. Contributions may be subject to adjustment in the event of returns by the User and subject to other terms and conditions between iRedirect and the Merchant. The contributions will be in accordance with the contribution percentages listed on the iRedirect.org site at the time of the User's purchase.


Restrictions:

User is not authorized to make any representations or warranties to an enrolled school or non-profit youth organization regarding the contributions or the iRedirect Program. The contributions are made by iRedirect and are not tax-deductible by User.


Limitations:

User understands that iRedirect does not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. iRedirect is not a party to the transactions entered into between Users and Merchants. USER AGREES THAT PARTICIPATION IN THE IREDIRECT PROGRAM IS AT THE SOLE RISK OF USER AND THAT THE IREDIRECT PROGRAM IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF TITLE, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL IREDIRECT OR ITS AFFILIATES BE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN USERS AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO THE IREDIRECT.ORG SITE. IN NO EVENT SHALL IREDIRECT NOR ITS AFFILIATES BE LIABLE TO USERS FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY RESULT FROM THE USE OF OR THE INABILITY TO USE THE IREDIRECT PROGRAM OR FROM THE FAILURE TO MAKE CONTRIBUTIONS TO THE DESIGNATED ENROLLED ORGANIZATIONS, REGARDLESS OF WHETHER IREDIRECT OR ITS AFFILIATES WERE MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER SUCH DAMAGES ARISE IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. USER AUTHORIZES IREDIRECT AND ITS AFFILIATES TO PERFORM ALL ACTIONS NECESSARY HEREUNDER, INCLUDING WITHOUT LIMITATION, THE DIRECTING OF CONTRIBUTIONS TO AN ENROLLED ORGANIZATION DESIGNATED BY USER.


Intellectual Property:

The trademarks, logos and services marks ("Marks") displayed on the iRedirect.org Site are the property of iRedirect and other parties. Users are prohibited from using any Marks for any purpose without the written permission of iRedirect or such third party which may own the Marks. All information and content including any software programs available on or through the iRedirect.org Site ("Content") is protected by copyright. Users are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Content available on or through the iRedirect.org Site for commercial or public purposes.


Merchant Policies:

Users who buy products or services from Merchants will be deemed to be customers of Merchant. All rules, policies (including privacy policies) and operating procedures of Merchant will apply to Users while on such Merchant's site or local store location. iRedirect is not responsible for information provided by Users to Merchants. Merchant and iRedirect are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.


Links to Other Sites:

Access to any other Internet web site linked to the iRedirect.org Site is at the User's own risk. User should be aware that linked web sites may contain rules and regulations, privacy provisions, confidentiality provisions, transmission of personal data provisions, and other provisions that differ from the provisions provided on the iRedirect.org Site. iRedirect is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.


General:

User agrees to use the iRedirect Program in accordance with iRedirect's policies and procedures in effect from time to time. User will not use the iRedirect Program in a manner that is prohibited by any law, rule or regulation. These terms of use are governed by the laws of the State of Maryland without reference to its conflict of law principles and User consents to the personal jurisdiction of the courts within the State of Maryland for any action arising out of use of the iRedirect Program. These terms and conditions constitute the entire agreement between iRedirect and User.





Terms for Nonprofit Organizations



  1. Fundraising Solutions Network (FSN) has established the iRedirect Program (“Program”) to benefit United States Christian organizations. Organizations meeting these criteria may apply to become authorized participants in the Program; however, FSN reserves the right to refuse or revoke the enrollment of any organization in the Program.

  2. When a supporter of Organization makes a qualifying purchase at a participating merchant, the participating merchant, pursuant to its agreement with FSN, will provide FSN with a referral fee, and FSN shall provide to Organization the percentage of the purchase indicated on the iRedirect.org website at the time of purchase.

  3. During Organization’s enrollment in the Program, FSN and Organization shall have the right to indicate to the public that Organization is an authorized participant in the Program and in connection therewith may use the trademarks, servicemarks and trade names (“Marks”) of the other party. However, all representations of the FSN Marks that Organization uses shall be exact copies of those used by FSN and the iRedirect program or shall first be submitted to FSN for approval of design, color and other details. Organization shall not use the FSN or iRedirect Marks in any manner that would be inconsistent with or damaging to FSN’s or the iRedirect program’s name or reputation.

  4. “Confidential Information” shall mean any trade secrets, confidential data, or other confidential information of FSN or Organization. Neither FSN nor Organization shall use any Confidential Information of the other for any purpose not authorized under this Agreement, and shall not disclose any such Confidential Information to any third party except as required by law.

  5. This Agreement shall remain in effect until terminated by either party upon thirty (30) days written notice to the other party.

  6. Organization may not assign this Agreement or any rights or obligations hereunder, directly or indirectly by operation of law or otherwise, without the prior written consent of FSN. This Agreement shall be governed by the laws of the State of Maryland, without reference to conflict of laws principles. Any disputes arising out of this Agreement shall be received by binding arbitration in Maryland in accordance with the rules of the American Arbitration Association.

  7. FSN’s obligation to deliver funds under the program is expressly conditioned upon FSN receiving funds from qualifying merchants. FSN makes no representations or warranties, express, implied, statutory or otherwise, with respect to the program or as to any matter whatsoever. In particular and without limitation, FSN disclaims any and all warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement of third-party rights.

  8. FSN shall not be liable for any damages, including without limitation direct or indirect damages, incidental, special or consequential damages, loss of profits or revenue, or interruption of business, in any way arising out of or related to the program, regardless of the form of action, whether in contract, tort (including negligence), strict product liability or otherwise, even if FSN or any representative of FSN has been advised of the possibility of such damages.

  9. FSN reserves the right to discontinue or alter the terms of this program, including but not limited to: the participating merchants and the contribution percentages, at any time without prior notice.
